Terms of Service

1. Acceptance of Terms

By engaging Proscale360 for any web or software development services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not proceed with any project engagement. These terms apply to all clients, visitors, and users of our services.

2. Services Provided

Proscale360 provides custom web development, software development, admin panel development, invoice systems, and related digital services. The specific scope of each project is defined in a written proposal or statement of work agreed upon by both parties before work begins. We reserve the right to decline any project at our discretion.

3. Project Scope and Changes

All work is performed based on the agreed project scope. Any changes to scope — including additional features, design revisions beyond the agreed number, or platform changes — may require additional time and cost. Scope changes must be approved by both parties in writing via email or WhatsApp before implementation begins.

4. Payment Terms

Projects require a 50% advance payment before work commences. The remaining 50% is due upon project completion before final files and deployment access are handed over. For ongoing maintenance or retainer contracts, invoices are issued monthly in advance. All payments are non-refundable once the corresponding work phase has been completed.

5. Intellectual Property

Upon full payment, the client receives full ownership of the custom code, designs, and assets produced specifically for their project. Proscale360 retains ownership of any pre-built components, frameworks, libraries, or tooling used as a foundation. Third-party libraries are subject to their respective open-source licenses.

6. Client Responsibilities

The client is responsible for providing accurate content, requirements, and feedback in a timely manner. Delays caused by the client (including delayed content delivery, delayed approvals, or unavailability for review) may affect the project timeline without penalty to Proscale360. The client is responsible for ensuring all provided content does not infringe on third-party rights.

7. Confidentiality

Both parties agree to keep confidential any proprietary information, business data, or sensitive details shared during the engagement. Proscale360 will not disclose client data to third parties without explicit consent, except where required by law. We treat all client information with the utmost care and professionalism.

8. Warranties and Limitations

Proscale360 warrants that all work is performed professionally and to the best of our ability. We provide a post-launch support period (as specified in the project agreement) during which we fix bugs caused by our code at no additional charge. We do not warrant that software will be error-free in all possible environments, configurations, or use cases beyond the agreed specifications.

9. Limitation of Liability

Proscale360's total liability under any claim arising from a project engagement shall not exceed the total amount paid by the client for that project. We are not liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruption. It is the client's responsibility to maintain backups of their data.

10. Project Timelines

Proscale360 endeavours to deliver all projects within the agreed timeline. Timelines are estimates based on the agreed scope and assume timely client cooperation. We will promptly notify the client of any delays and the reasons for them. Force majeure events, including power outages, illness, or internet failures, may cause unavoidable delays.

11. Termination

Either party may terminate the engagement with 7 days written notice. In the event of termination, the client is obligated to pay for all work completed to date. Work completed means all development hours logged and deliverables produced up to the termination date. The 50% advance is non-refundable in all cases.

12. Governing Law

These Terms of Service are governed by applicable laws. Any disputes shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration.

13. Changes to Terms

Proscale360 reserves the right to update these Terms of Service at any time. Changes will be communicated via our website. Continued engagement with our services after changes are posted constitutes acceptance of the updated terms.
